Willistown Capital's Award-Winning PE Deal Breakdown

Willistown Capital's award-winning acquisitions of Quiltcraft and Fabtex demonstrate how independent sponsors execute complex deals for multiple expansion.

Bill Boffa & Darren Fultz

Willistown Capital's award-winning transaction began with the acquisition of Quiltcraft in December 2024, followed two months later by the transformative add-on of Fabtex in early 2025. The combination earned the ACG Houston Private Equity Deal of the Year for its complexity and execution, where legal expenses exceeded $1m and lender interest was tentative due to the asynchronous nature of the two deals. A well-oiled line-up of advisors as well as proactive stakeholder management strategy were key for success.

On October 16, 2025, during Minds Capital's Annual Investor Day in Dallas, we toured Quiltcraft's operations alongside Willistown's leadership. Seeing the business in action brought the investment to life, revealing the scale, precision, and culture behind a true market leader. It was widely regarded as a highlight of the event and a look into what drives long-term value creation.

This episode explores how Bill and Darren transformed Willistown from opportunistic dealmaking to an institutional platform. Since Fultz joined in 2023, the firm has completed 5 acquisitions, emphasizing quality over quantity.

They are big believers in the concept of zone skipping. In their case, they have had a transformative add-on to jump valuation tiers. Moving from $10m in EBITDA attracts a new buyer universe, while reaching $20m+ brings in large PE and strategics. The Fabtex integration accelerated that leap, strengthening future exit potential and validating the model's power to create scale through precision execution.
